QAF #10 - I am expecting some corporate actions before the next AGM in April, 2015

I talked to my broker a couple of days ago.

I told him, and he agreed, that if there are any significant corporate moves, i.e. new business ventures, QAF is likely to make some announcements before the next AGM in April, 2015. This is to allow the shareholders to vote on resolutions pertaining to such corporate actions; otherwise, QAF will have to call for an EGM at a later date which is unnecessary and troublesome (not that the votes from the minority shareholders are needed as the Major Shareholders, i.e. Mr Andree Halim and Mr Anthoni Salim, are controlling over 50% of the company).



What I have in mind is a possible merger with the Pig Farming Business of the Salim Group in Pulau Bulan which could possibly lead to the listing of Hamsdale International Pte Ltd (“Hamsdale”), a subsidiary of QAF.

Another possible deal would involve Goodman Fielder which was a target of takeover by Wilmar International and First Pacific (the flagship of Mr Anthoni Salim). My guess is that the Bakery Business of Goodman Fielder could be injected into QAF.

According to an announcement by Wilmar International on March 2, 2015, a Scheme of Arrangement (for the takeover of Goodman Fielder by Wilmar and First Pacific) will be implemented on March 17, 2015 (see SGX Announcement). Hence, if there is any announcement on a possible deal between Goodman Fielder and QAF (and possibly also involve Nippon Indosari--the Bakery arm of the Salim Group), it will be done AFTER March 17, 2015 [and before the QAF's upcoming AGM in April, 2015].

Any deal between QAF and Goodman Fielder is just a speculation on my part. And, even if such a deal is possible, it may take a longer period of time to come to fruition, like another year or two. Hence, I would assign a very low possibility to such an event taking place before QAF's upcoming AGM in April, 2015.
